1 Acceptance of Terms

By accessing or using https://lp.unikainfocom.in/, submitting a contact form, calling us, messaging via WhatsApp, or engaging our services in any way, you confirm that:

• You have read, understood, and agree to be bound by these Terms.
• You are at least 18 years of age and legally capable of entering into a binding contract under Indian law.
• If you are acting on behalf of a business entity, you have the authority to bind that entity to these Terms.

2 About Our Services

Unika Infocom Pvt. Ltd. is a digital solutions company based in India, providing the following services:

• Website Development — Custom-designed, mobile-responsive, SEO-ready websites (5 pages and above).
• Android App Development — Native or hybrid Android applications tailored to your business.
• E-Commerce Development — Online stores with payment gateway, COD, and multi-vendor support.
• Search Engine Optimisation (SEO) — On-page and off-page SEO to improve organic search rankings.
• Logo Design & Branding — Professional brand identity design.
• Domain, Hosting & SSL — Procurement and management of web infrastructure.
• Business Email Setup — Professional email accounts (you@yourbusiness.com).
• Digital Marketing & Ads Management — Google Ads, Meta Ads, and social media campaigns.

The specific scope, deliverables, and timeline for any engagement are agreed upon individually with each client via a written confirmation, proposal, or invoice ("Service Agreement").

3 Eligibility

• Our services are available to individuals and businesses aged 18 years and above.
• We do not knowingly engage minors for paid services. If you are under 18, please have a parent or legal guardian act on your behalf.
• Our services are primarily offered to clients in India, though we also work with international clients. Additional terms may apply for cross-border engagements.
• We reserve the right to refuse service to any person or entity at our sole discretion, including where we reasonably believe the intended use violates applicable law or these Terms.

4 Service Enquiries & Engagement

4.1 Enquiry & Contact Forms

When you submit an enquiry through our landing page form, call us, or message via WhatsApp, you are initiating a pre-sales conversation only — no contract is formed until a formal Service Agreement, proposal, or invoice is issued and accepted by both parties.

4.2 Accuracy of Information

You agree to provide accurate, current, and complete information when submitting enquiries or engaging our services. Providing false or misleading information may result in cancellation of services without refund.

4.3 Response Time

We aim to respond to all enquiries within 30 minutes during business hours (Monday–Saturday, 10:00 AM–7:00 PM IST). Response times may vary on public holidays.

4.4 No Spam or Unsolicited Outreach

By submitting your contact details, you consent to being contacted by Unika Infocom regarding your enquiry and related services. We will never share your number or email with third parties for their marketing purposes, and we will not send unsolicited bulk messages. See our Privacy Policy for full details.

5 Pricing, Payment & GST

5.1 Published Prices

The prices displayed on our landing page are indicative and subject to confirmation based on your specific requirements. All advertised prices are exclusive of Goods & Services Tax (GST) unless explicitly stated otherwise.

5.2 Payment Terms

• 50% advance payment is required to begin work.
• The remaining 50% is due upon project completion and client approval, before the final handover of files or going live.
• For custom projects above ₹50,000, milestone-based payment schedules may be agreed upon in the Service Agreement.

5.3 Accepted Payment Methods

We accept UPI, NEFT/RTGS/IMPS bank transfer, Razorpay (debit/credit card, net banking), and cheque (subject to clearance). All payments must be made in Indian Rupees (INR).

5.4 GST & Invoicing

All invoices will include applicable GST as per Indian tax law. A GST invoice will be provided upon payment. Clients requiring GST input credit must provide their GSTIN at the time of engagement.

5.5 Late Payments

Outstanding balances unpaid beyond 7 days after the due date may attract a 1.5% per month late fee. We reserve the right to pause or suspend work on the project until payment is received.

6 Delivery Timeline & Process

6.1 Standard Delivery

Our advertised delivery timeline is 2–5 business days for standard packages, starting from the date we receive all required content, assets, and the advance payment from you. This timeline is a target — actual delivery may vary based on project complexity and client responsiveness.

6.2 Client Content Responsibility

You are responsible for providing all required content (text, images, logo, branding guidelines, product details) within 3 business days of project commencement. Delays in providing content will proportionally extend the delivery timeline, for which Unika Infocom bears no liability.

6.3 Revisions

All packages include up to 2 rounds of revisions unless stated otherwise in the Service Agreement. Additional revision rounds will be charged separately and quoted before commencement.

6.4 Go-Live

The website or app will go live only after the client's written approval (via email or WhatsApp) and receipt of the final payment instalment. Post-go-live changes may be treated as a new scope of work.

7 Refund & Money-Back Policy

7.1 Refund Eligibility

• Refund requests must be submitted in writing (email to business@unikainfocom.in) within 7 days of project delivery.
• A refund is applicable only if we have materially failed to deliver the agreed scope of work as documented in the Service Agreement.
• Refunds are not applicable if:
  • You change your mind after work has commenced.
  • Delays were caused by your failure to provide content or approvals.
  • The project was delivered and approved by you but later deemed unsatisfactory due to personal preference changes.
  • Third-party costs (domain registration, hosting, SSL, payment gateway setup) have already been incurred on your behalf.

7.2 Refund Processing

Approved refunds will be processed to the original payment method within 10–15 business days. GST paid is non-refundable as it is remitted to the Government of India.

8 Client Responsibilities

As a client or user of our services, you agree to:

• Provide accurate business information, content, and assets required for the project in a timely manner.
• Ensure that all content, images, and materials you provide do not infringe on any third-party intellectual property rights, and that you hold appropriate licences for all materials supplied.
• Obtain all necessary legal registrations, licences, and approvals required to operate your business online (e.g., business registration, FSSAI for food businesses, etc.).
• Not use the website or app delivered by us for any illegal, fraudulent, or prohibited activities.
• Maintain the confidentiality of any admin credentials, passwords, or access details provided to you.
• Notify us promptly of any errors, defects, or issues with deliverables within the revision period.

9 Intellectual Property

9.1 Ownership of Deliverables

Upon receipt of full payment, the client receives ownership rights to the final delivered website files, app builds, and design assets created specifically for their project. Until full payment is received, all deliverables remain the intellectual property of Unika Infocom Pvt. Ltd.

9.2 Unika Infocom's IP

All proprietary frameworks, templates, code libraries, tools, processes, and methodologies developed or used by Unika Infocom remain our exclusive intellectual property. A licence to use the final deliverable is granted to the client; this does not transfer ownership of our underlying tools or frameworks.

9.3 Third-Party Licences

Some deliverables may incorporate third-party open-source software, stock images, fonts, or plugins. These are subject to their own licences (e.g., GPL, MIT, Creative Commons). We will inform clients of any such components included in their project.

9.4 Portfolio Right

Unika Infocom reserves the right to display completed client projects in our portfolio, website, social media, and marketing materials unless the client requests otherwise in writing before project commencement.

9.5 Client-Provided Content

You warrant that all content, logos, images, and materials you provide are either owned by you or you have obtained the necessary permissions to use them. You agree to indemnify Unika Infocom against any third-party IP claims arising from client-provided content.

10 Advertising & Google Ads Compliance

10.1 Accuracy of Advertising Claims

All claims made in our advertisements and on our landing page — including pricing, delivery timelines, ratings, and service descriptions — are truthful and substantiated. Specifically:

• "5 Days" delivery refers to our average delivery timeline for standard packages, subject to timely receipt of client content and approvals.
• "Starting ₹9,999" refers to our Basic package price, exclusive of GST. Final pricing is confirmed in the Service Agreement.
• "50% Money-Back" refers to our 50% milestone payment structure (pay half upfront, half on completion) — not a blanket 50% refund policy. Please see Section 7 for full refund terms.
• "100% Money-Back" is subject to the refund eligibility conditions outlined in Section 7.
• "4.9 ★ Clutch" and "5 ★ Google" ratings reflect verified third-party reviews at the time of publishing. These are real, publicly verifiable ratings.
• "1500+ Businesses Launched" refers to cumulative projects delivered since 2010.

10.2 No Misleading Destinations

All Google Ads run by Unika Infocom direct users to this landing page, which accurately represents our services, pricing, and terms. We do not use cloaking, redirect tricks, or mismatched display/destination URLs.

10.3 Remarketing & Personalised Ads

We use Google Ads Remarketing to show relevant ads to past visitors of our website. We do not target ads based on sensitive personal information. Our use of personalised advertising complies fully with Google's Personalised Advertising policies. See our Privacy Policy for details on how to opt out.

10.4 No Prohibited Content

Our services do not involve, promote, or facilitate any content prohibited under Google Ads policies, including but not limited to: counterfeit goods, dangerous products, deceptive software, hate speech, illegal services, or any other prohibited content category.

11 Prohibited Uses

You agree not to use our website, services, or any deliverable we create for you for the following purposes:

• Any activity that is illegal, fraudulent, or deceptive under Indian law or the laws of any applicable jurisdiction.
• Selling or promoting counterfeit goods, pirated software, or products that infringe third-party intellectual property rights.
• Creating, distributing, or promoting malware, spyware, or any harmful software.
• Sending unsolicited bulk communications (spam) via any channel.
• Collecting personal data of third parties without their informed consent, in violation of the DPDP Act 2023.
• Engaging in activities prohibited under Google Ads policies (if the site is used in conjunction with Google advertising campaigns).
• Any activity involving child exploitation, human trafficking, or content harmful to minors.
• Hate speech, incitement to violence, or content that discriminates based on race, gender, religion, caste, or any other protected characteristic.
• Any activity that would expose Unika Infocom to legal liability or reputational harm.

12 Third-Party Services & Links

Our website and delivered projects may integrate or link to third-party services including Google Maps, WhatsApp, Razorpay, Clutch, and others. These services are governed by their own terms and privacy policies. Unika Infocom:

• Is not responsible for the availability, accuracy, or content of any third-party service or website.
• Does not endorse or guarantee any third-party service unless explicitly stated.
• Is not liable for any loss or damage arising from your use of any third-party service linked from our website or deliverables.

Payment processing is handled by third-party payment gateways (e.g., Razorpay). By making a payment, you also agree to the payment gateway's terms of service and privacy policy.

13 Disclaimers & Limitation of Liability

13.1 No Guarantee of Results

While we employ best practices in web development, SEO, and digital marketing, we do not guarantee specific business outcomes such as sales growth, lead volume, search engine rankings, or app downloads. Results vary based on market conditions, competition, and client-side factors.

13.2 Website "As Is"

Our landing page and website are provided on an "as is" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or suitability of information on the site for any particular purpose.

13.3 Limitation of Liability

To the maximum extent permitted by applicable Indian law, Unika Infocom's total liability to any client or user, arising from or in connection with these Terms or any services provided, shall not exceed the total fees actually paid by you to us for the specific service giving rise to the claim.

We shall not be liable for any:

• Indirect, consequential, or incidental losses.
• Loss of revenue, profit, data, or business opportunity.
• Damages arising from third-party service failures (hosting downtime, payment gateway errors, etc.).
• Damages resulting from force majeure events (natural disasters, power outages, government actions, cyberattacks, etc.).

13.4 Uptime & Hosting

While we advertise 99.9% uptime for hosting services, this is a target based on our hosting provider's SLA and does not constitute an absolute guarantee. Scheduled maintenance windows will be communicated in advance where possible.

14 Indemnification

You agree to defend, indemnify, and hold harmless Unika Infocom Pvt. Ltd., its directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your violation of these Terms.
• Your use of our website or services in an unlawful manner.
• Content or materials you provided that infringe third-party intellectual property rights.
• Any claim by a third party arising from your use of a deliverable we created for you.

15 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business plans, client data, pricing negotiations, and any information marked as confidential by either party.

This confidentiality obligation survives termination of the service relationship for a period of 2 years, unless the information has become publicly available through no fault of either party.

16 Termination

16.1 By the Client

You may terminate an engagement at any time by providing written notice to us. However, fees already paid for work completed or in progress are non-refundable, and any outstanding balance for completed work remains payable.

16.2 By Unika Infocom

We reserve the right to immediately suspend or terminate services if:

• You violate any provision of these Terms (especially Section 11 — Prohibited Uses).
• Payment is overdue by more than 14 days.
• We reasonably believe the services are being used for illegal or harmful purposes.
• Continued service would expose us to legal, reputational, or financial risk.

16.3 Effect of Termination

Upon termination, we will cease work and any deliverables not yet handed over will remain with Unika Infocom until all outstanding payments are settled. Sections 9, 13, 14, 15, and 17 survive termination.

17 Governing Law & Disputes

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles. The relevant provisions of the Information Technology Act 2000, Consumer Protection Act 2019, and the Digital Personal Data Protection Act 2023 shall apply.

17.2 Dispute Resolution

In the event of any dispute, the parties agree to first attempt to resolve the matter amicably through good-faith negotiation within 30 days of written notice of the dispute.

If the dispute cannot be resolved amicably, it shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be West Bengal, India. The arbitration proceedings shall be conducted in English.

17.3 Jurisdiction

For matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts of West Bengal, India.

18 Changes to These Terms

We reserve the right to update or modify these Terms at any time. Material changes will be communicated by updating the "Effective Date" at the top of this page. We may also notify active clients by email for significant changes.

Your continued use of our website or services after changes become effective constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
